The undersigned, being the President and Secretary of the ROCHESTER ROCK, ICE &
SNOW CLIMBING CLUB (also known as RRISCC), do hereby state:

1.  The name of the Corporation is ABC MOUNTAINEERING CLUB, INC.

2.  The Certificate of Incorporation of ABC MOUNTAINEERING CLUB, INC. was filed with
     the Department of State on January 16, 1974.  The Corporation was formed under the
     Not-for-Profit Corporation Law of the State of New York.

3.  The ABC MOUNTAINEERING CLUB, INC., is a Corporation as defined in subparagraph
     (a)(5) of Section 102 of the Not-for-Profit Corporation Law and is a Type A corporation
     under Section 201 of said law.

4.  The Certificate of Incorporation of ABC MOUNTAINEERING CLUB, INC. is hereby
     amended to effect a change in the corporate name, pursuant to Section 801 of the
     Not-for-Profit Corporation Law.  Paragraph 1. of the Certificate of Incorporation is hereby
     amended, as follows:

        1.  The name of the corporation is ROCHESTER ROCK, ICE AND SNOW CLIMBING
             CLUB Inc.

5.  This Amendment to the Certificate of Incorporation of ABC MOUNTAINEERING CLUB,
     INC. was authorized by the consent, dated May 15, 2000, of a majority of the members
     eligible to vote, the affirmative vote of which constituted a quorum.

6.  The Secretary of State is hereby designated as agent of the corporation upon whom
     process against it may be served.  The post office address to which the Secretary of State
     shall mail a copy of any process against the corporation served upon him is:
