The undersigned for the purpose of forming a corporation under Section 402 of the
Not-for-Profit Corporation, hereby certify:

1.  The name of the corporation is ABC MOUNTAINEERING CLUB, INC.

2.  The corporation has not been formed for pecuniary profit or financial gain, and no part
of the assets, income or profit of the corporation is distributable to, or enures to the
benefit of its members, directors, or officers except to the extent permitted under the
Not-for-Profit Corporation.

3.  The purpose for which the corporation is to be formed is to engage and participate in
outdoor sports, hiking, mountain climbing, mountaineering and to promote interest in
outdoor sports, hiking, mountain climbing and mountaineering.  To provide for the
mutual assistance, enjoyment, entertainment and improvement of its members socially
and physically by encouraging them in participation in some form of athletics or
physical recreation; and to purchase, own, operate, lease, mortgage and maintain
suitable equipment for the use of said members and all types and natures of buildings,
land, tools, reading materials, quarters and facilities for the use and entertainment of
its members; to foster, expand and perpetuate the sports of hiking, mountain climbing,
mountaineering and other outdoor woodsmanship; to preserve, protect the rights,
privileges and properties of all active outdoorsmen.  To do any other act or thing
incidental to or connected with the foregoing purposes or in advancement thereof.

4.  The corporation is a Type A corporation.

5.  The City and County in which its office is to be located are:  City of Rochester, County of
Monroe and State of New York.

6.  The territory in which its operations are principally to be conducted is in the State of
New York.

7.  The names and residences of the directors until the first annual meeting are:
